Partner and ESG Risk and Investigations Co-Chair Johnjerica Hodge recently served as a panelist for the "WTF Does ESG Really Mean for M&A?" session during the 19th annual Mergers and Acquisitions Institute at the University of Texas School of Law. The panel, featured in an article by The Texas Lawbook, determined that environmental, social and governance (ESG) issues are an increasing consideration in M&A transactions.

Johnjerica noted that US companies involved in global transactions need to be aware of and compliant with specific ESG regulatory frameworks in the European Union. She added that while the SEC is considering new climate disclosure reporting regulations and California recently adopted climate disclosure rules, other countries already have regulatory regimes in place. Countries, like Germany for example, have also adopted regulations requiring reporting on supply chain issues. These (and other) regulatory regimes emphasize the need for proper due diligence.
